By creating an account, ticking the box to accept these Terms, or otherwise using the Service, you (“Customer”, “you”, or “your”) agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you confirm that you have the authority to bind that organization, and “you” refers to that organization.

2. Eligibility and Accounts

2.1 The Service is intended for use by nonprofit and charitable organizations and their authorized personnel.

2.2 You must provide accurate and complete information when registering and keep it up to date.

2.3 You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account. You must notify us promptly of any unauthorized use.

2.4 Each plan includes a specified number of permitted account users. You may not share individual logins beyond your permitted user allowance.

3. Subscriptions, Fees, and Payment

3.1 Subscription plans. The Service is offered on tiered plans based on the number of supporter records, billed monthly or annually as selected at sign-up. Current plans and prices are published on our website and may be updated from time to time.

3.2 Subscription fees. Subscription fees are billed in advance on a recurring basis (monthly or annually) and are stated in US Dollars (USD) unless otherwise agreed.

3.3 Platform fee on donations. For donations processed through the Service, you will pay the applicable payment processor (Stripe) fee plus a platform fee of 1% of the donation amount. Credit card processing and transaction fees are separate from and not included in the subscription fee.

3.4 Payment processing. Payments and donations are processed by third-party payment providers, including Stripe. Your use of these services is subject to their respective terms. We are not responsible for the acts or omissions of any payment processor.

3.5 Taxes. Fees are exclusive of any applicable taxes, levies, or duties, which are your responsibility unless we are legally required to collect them.

3.6 Renewal. Subscriptions renew automatically for successive billing periods unless cancelled in accordance with Section 8. Annual plans renew for a further year at the then-current rate.

3.7 Late or failed payment. If a payment fails or is overdue, we may suspend or restrict your access to the Service until outstanding amounts are paid.

3.8 Price changes. We may change our Fees. For existing Subscriptions, we will give reasonable notice, and any change will take effect at your next renewal.

4. The Service and AI-Generated Content

4.1 Use of Frontier LLMs. The Service uses automated models, including frontier large language models (“Frontier LLMs”) provided by third-party AI providers, together with other artificial intelligence technologies, to write, personalize, segment, and schedule donor communications based on the Customer Content and Supporter Data you provide. We may change, replace, or use different Frontier LLM providers from time to time in order to improve the Service, and such changes will not require your separate consent provided they remain subject to these Terms.

4.2 Your approval and oversight. The Service is designed to give you an approval step before content is sent. You are responsible for reviewing campaign summaries and Generated Content, and for approving what is sent to your supporters. You retain full editorial control.

4.3 Nature of AI output. Generated Content is produced algorithmically and may contain errors, inaccuracies, or content that requires editing. You acknowledge that AI-generated output is not guaranteed to be accurate, appropriate, or fit for any particular purpose, and that you are solely responsible for content you approve and send.

4.4 No guarantee of results. While the Service is designed to improve engagement and fundraising outcomes, we do not warrant or guarantee any specific level of donations, engagement, deliverability, or other results.

5. Customer Content and Data

5.1 Ownership. As between you and us, you retain all rights in and to your Customer Content and Supporter Data.

5.2 License to us. You grant us a non-exclusive, worldwide license to host, process, and use Customer Content and Supporter Data solely to provide and improve the Service and to generate communications on your behalf.

5.3 Your responsibilities. You represent and warrant that:

  • (a) you have all necessary rights, consents, and lawful bases to upload Supporter Data and to send communications to your supporters;
  • (b) your Customer Content does not infringe any third party’s rights or violate any applicable law; and
  • (c) you will comply with all applicable email, marketing, and anti-spam laws in the jurisdictions where your supporters are located.

5.4 Ownership of Generated Content. Subject to your payment of applicable Fees, you own the Generated Content produced for your campaigns. We retain all rights in the underlying models, systems, and technology used to produce it.

6. Data Protection

6.1 In providing the Service, we process Supporter Data on your behalf. For the purposes of applicable data protection law (including the UK GDPR and, where relevant, the EU GDPR), you are the controller and we are the processor of Supporter Data.

6.2 Our processing of personal data is governed by our [Data Processing Agreement / Addendum], which forms part of these Terms, and by our Privacy Policy.

6.3 We will implement appropriate technical and organizational measures to protect Supporter Data and will only process it in accordance with your documented instructions and these Terms.

6.4 You are responsible for ensuring that your collection and use of Supporter Data, and your instructions to us, comply with applicable law.

7. Acceptable Use

7.1 You agree not to:

  • (a) use the Service to send unlawful, harassing, deceptive, or unsolicited communications in breach of applicable law;
  • (b) upload Supporter Data you are not authorized to use;
  • (c) attempt to reverse engineer, copy, or interfere with the Service or its underlying models;
  • (d) use the Service to build a competing product;
  • (e) introduce malicious code or attempt to gain unauthorized access to our systems; or
  • (f) use the Service in any way that could damage, disable, or impair it.

7.2 We may suspend or terminate access if we reasonably believe you have breached this Section.

8. Term, Cancellation, and Termination

8.1 These Terms apply for as long as you use the Service.

8.2 Cancellation by you. You may cancel your Subscription at any time, effective at the end of your current billing period. Monthly plans stop at the end of the paid month; annual plans continue until the end of the paid year. Fees already paid are non-refundable except where required by law.

8.3 Termination by us. We may suspend or terminate your access if you materially breach these Terms, fail to pay Fees, or use the Service unlawfully.

8.4 Effect of termination. On termination, your right to use the Service ends. You may request an export of your Customer Content and Supporter Data within [30] days of termination, after which we may delete it in accordance with our data retention practices and applicable law.

9. Third-Party Services and Integrations

The Service may integrate with or rely on third-party services, including payment processors (such as Stripe), email delivery providers, cloud infrastructure providers, and Frontier LLM providers used to generate AI-assisted content. These third-party services operate under their own terms and privacy policies. We are not responsible for the availability, acts, omissions, or performance of any third-party service.

10. Service Availability

10.1 We aim to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation.

10.2 We may perform maintenance, updates, or changes to the Service, and will use reasonable efforts to minimize disruption.

11. Intellectual Property

All rights, title, and interest in the Service, including its software, models, design, and trademarks, remain the exclusive property of Escalator and its licensors. Except for the limited right to use the Service under these Terms, no rights are granted to you.

12. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other in connection with the Service, and to use it only as necessary to perform under these Terms, except where disclosure is required by law.

13. Warranties and Disclaimers

13.1 We provide the Service with reasonable skill and care.

13.2 Except as expressly stated, the Service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all other warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

14. Limitation of Liability

14.1 Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under applicable law.

14.2 Subject to Section 14.1, we will not be liable for any indirect, incidental, special, or consequential loss, or for loss of profits, revenue, donations, goodwill, or data.

14.3 Subject to Section 14.1, our total aggregate liability arising out of or in connection with these Terms will not exceed the total Fees paid by you to us in the [twelve (12)] months preceding the event giving rise to the claim.

15. Indemnification

You agree to indemnify and hold us harmless from any claims, losses, or damages arising from your Customer Content, your Supporter Data, your communications to supporters, or your breach of these Terms or applicable law.

16. Changes to These Terms

We may amend or update these Terms from time to time to reflect changes to the Service, applicable law, our business practices, or the third-party technologies and providers we use (including Frontier LLM providers). The current version of these Terms will always be published where these Terms are made available through the Service or on our website and will include a revised “Last updated” date. Where changes are material, we will provide reasonable notice before they take effect. Your continued use of the Service after the effective date of any updated Terms constitutes your acceptance of those updated Terms.

17. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, subject to any mandatory rights you may have under local law.

18. General

18.1 If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in effect.

18.2 Our failure to enforce any right does not waive it.

18.3 You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.

18.4 These Terms constitute the entire agreement between you and us regarding the Service.
